By accessing or using GoGetLicense (“the Platform”, “we”, “us”, or “our”), you agree to be legally bound by these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree to all terms and conditions, you must not access or use the Platform. You represent and warrant that you are at least 18 years of age and possess the legal authority and capacity to enter into these binding Terms.
GoGetLicense is a specialized B2B discovery and communication marketplace connecting companies, research institutions, technology transfer offices (TTOs), universities, and independent innovators for in-licensing and out-licensing of intellectual property, products, technologies, patents, and research assets. The Platform facilitates discovery, listing publications, inquiries, and initial negotiation discussions. GoGetLicense acts strictly as an intermediary directory and communication platform and is not a party, broker, agent, or guarantor to any licensing agreement, contract, or transaction between users.
You must register for an account to access core platform features. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to promptly update such information as needed.
By registering an account on behalf of a company, corporate enterprise, university, or research institution, you represent, warrant, and covenant that you possess full legal power, corporate authorization, and necessary institutional clearance to represent that entity, publish intellectual property listings, and participate in licensing discussions on its behalf.
Listing creators and organizations are solely responsible for the accuracy, legality, authenticity, ownership, and validity of all profile information and asset listings published on the Platform. Listings must not infringe upon any third-party intellectual property, trade secret, or proprietary rights, contain false or deceptive representations, or violate any applicable municipal, national, or international laws.
GoGetLicense operates exclusively as a discovery and networking venue; we do not audit, verify, evaluate, or warrant the validity, ownership, patentability, commercial viability, or legal status of any listed technologies or assets. GoGetLicense reserves the right, in its sole discretion and without liability, to remove or modify any listing or suspend any profile that violates these Terms or is subject to a credible third-party dispute.
You retain all ownership rights in and to the text, images, technology descriptions, patent references, and other materials you submit or publish on the Platform (“User Content”).
By posting or submitting User Content to GoGetLicense, you grant us a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to use, host, store, reproduce, format, display, and distribute such User Content solely for the purposes of operating, maintaining, promoting, and improving the Platform and facilitating discovery across our network and search indices.
The Platform provides messaging and inquiry tools to enable organizations and researchers to initiate contact and negotiate commercial licensing terms. All inquiries, communications, terms, non-disclosure agreements (NDAs), and definitive agreements are entered into solely and directly between the respective counterparties. GoGetLicense does not guarantee any licensing outcome, contract execution, or the creditworthiness, integrity, or conduct of any user.
You agree that you will not, under any circumstances:
Certain features, elevated listing placements, or analytics may require a paid subscription or platform fee. All stated fees are non-refundable except as expressly required by applicable law. We reserve the right to modify our pricing structure or introduce new fees with reasonable advance notice. Subscription terms, renewal cycles, and cancellation policies will be disclosed at the point of purchase.
The Platform, including its underlying software, algorithms, databases, user interfaces, branding, visual designs, and logos, is the exclusive proprietary property of GoGetLicense and is protected by copyright, trademark, and other applicable intellectual property laws. Nothing in these Terms grants you any right, title, or interest in our platform IP except for the limited right to access and use the Platform in accordance with these Terms.
GoGetLicense is provided strictly on an “as is” and “as available” basis, without warranties of any kind, whether express, statutory, or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or title. We make no warranty that the Platform will be uninterrupted, timely, secure, error-free, or free of viruses.
To the maximum extent permitted by applicable law, in no event shall GoGetLicense, its operators, affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including without limitation damages for loss of profits, goodwill, business opportunities, data loss, intellectual property disputes, unauthorized registrations, or commercial interruptions arising out of or related to your use of or inability to use the Platform.
To the maximum extent permitted by law, GoGetLicense's total aggregate liability arising out of or relating to these Terms or the Platform, under any legal or equitable theory (whether in contract, tort, negligence, strict liability, or otherwise), shall be capped at and strictly limited to a maximum amount of INR 10,000 and nothing more.
We reserve the right to suspend or terminate your account or restrict your access to the Platform at any time, with or without notice, for conduct that we believe violates these Terms or harms other users, us, or third parties.
Upon termination, your right to access the Platform immediately ceases. The handling, retention, or deletion of account information and published listings shall be governed by our Privacy Policy and applicable data protection regulations. GoGetLicense reserves the right to retain anonymized and aggregated analytics and transaction statistics. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, liability limitations, governing law, and dispute resolution.
You agree to defend, indemnify, and hold harmless GoGetLicense, its founders, operators, affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal and attorney's fees) arising out of or in any way connected with: (i) your access to or use of the Platform; (ii) your violation of these Terms; (iii) your User Content, listings, or representations; (iv) your infringement or misappropriation of any patent, trademark, trade secret, copyright, or other proprietary or privacy rights of any third party; or (v) any transaction, licensing discussion, or dispute between you and any other user.
We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when posted on the Platform. We will indicate the date of the latest revision at the top of this page. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
These Terms and any dispute, controversy, or claim arising out of or relating to them, their subject matter, or your use of the Platform shall be governed by and construed in accordance with the laws of India, without giving effect to any choice or conflict of law principles.
Subject to the arbitration provisions below, you irrevocably agree that the courts of competent jurisdiction located in Bengaluru, Karnataka, India shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
Informal Resolution: Prior to initiating any formal legal proceeding, you and GoGetLicense agree to first attempt in good faith to resolve any dispute, controversy, or claim informally by sending written notice to info@gogetlicense.com. The parties shall engage in discussions for a period of at least thirty (30) days from receipt of notice before initiating arbitration.
Binding Arbitration: If the dispute is not resolved through informal negotiations within thirty (30) days, the dispute shall be referred to and finally resolved by binding arbitration in accordance with the Indian Arbitration and Conciliation Act, 1996 (as amended from time to time). The seat and legal place of arbitration shall be Bengaluru, Karnataka, India. The arbitration shall be conducted by a single mutual arbitrator appointed in accordance with the Act, and the proceedings shall be conducted in the English language.
Class Action Waiver: To the fullest extent permitted by applicable law, you and GoGetLicense agree that any arbitration or proceeding shall be conducted solely on an individual basis and not as a class action, collective action, consolidated action, or representative proceeding.
If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, void, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary such that the remaining provisions of the Terms will continue in full force and effect.
These Terms of Service, together with our Privacy Policy and any written addenda or policies published by us on the Platform, constitute the sole, complete, and entire agreement between you and GoGetLicense regarding the Platform and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
No waiver by GoGetLicense of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of GoGetLicense to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
GoGetLicense shall not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations under these Terms caused by events or circumstances outside our reasonable control, including but not limited to acts of God, extreme natural events, war, armed conflict, civil unrest, labor disputes, pandemic, epidemic, government or regulatory orders, telecommunication or power grid failures, or third-party server, cloud, or internet outages.
You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent. GoGetLicense may assign, transfer, or delegate any or all of its rights and obligations under these Terms without restriction, notice, or consent in connection with a merger, acquisition, corporate restructuring, or sale of assets.
